Terms of Service

These Terms of Service (“Terms”) govern your access to and use of IXL CORE, including our website, subdomains, platform/application, trial services, subscription plans, features, content, and related support services (collectively, the “Service”). The Service is provided by IXL Consultants Limited, a company incorporated in Kenya (“IXL CORE”, “we”, “us”, “our”). By accessing the website, creating an account, starting a trial, subscribing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using IXL CORE on behalf of a company or other legal entity, you confirm you have authority to bind that entity. “You” and “Customer” refers to that entity and its authorised users.

Definitions

Account: Your registered IXL CORE account.
Authorised Users: Users you permit to access the Account.
Customer Data: All data submitted to the Service by you or your users (including contacts, invoices, messages, files, records, and content).
Subscription: Your paid plan (monthly or yearly).
Trial: The free evaluation period (currently 30 days unless stated otherwise).
Third-Party Services: External services integrated with the Service (e.g., messaging, payment providers, email services, analytics, APIs).

Eligibility and Account Registration

You may only use the Service if you are at least 18 years old and legally capable of entering into a binding contract. When creating an account, you agree to provide accurate and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including actions taken by users you authorise to access your account. If you suspect unauthorised access or misuse, you agree to notify us promptly so that appropriate steps can be taken.

The Service and Changes to the Service

IXL CORE provides business management functionality and tools that may vary depending on your selected plan and enabled modules. We may improve, update, modify, or replace features over time to enhance performance, security, compliance, or user experience. While we aim to maintain continuity, you understand and agree that the Service may change and that we do not guarantee that any specific feature, design, or integration will remain available indefinitely.

Trial Access

IXL CORE offers a 30-day trial, unless we state otherwise in writing or on the Service. The purpose of the trial is to allow you to evaluate whether the Service meets your business needs before subscribing. During the trial period, certain limits or restrictions may apply. We reserve the right to decline a trial, withdraw a trial, or change trial terms for new users where necessary to prevent abuse, ensure fairness, or comply with operational requirements.

Subscription Plans, Fees, and Billing

IXL CORE is offered on monthly or yearly subscription terms, and subscription fees are generally payable in advance, unless otherwise agreed in writing. When you subscribe, you authorise us (or our payment processors) to charge the applicable subscription fees and any related charges according to your selected plan. You acknowledge that feature availability may differ by plan and that usage limits may apply. If your payment fails, is reversed, or becomes overdue, we may restrict, suspend, or disable your access until outstanding amounts are settled, because continued access requires an active, paid subscription.

Auto-Renewal

You acknowledge and agree that auto-renewal is enabled by default. This means that your subscription will renew automatically at the end of each billing cycle unless you cancel prior to the renewal date. If you cancel, the cancellation prevents future renewals, but your access will typically continue until the end of the period you have already paid for.

Refund Policy (Non-Refundable)

Because IXL CORE provides a trial period to evaluate the Service, you agree that subscription payments are non-refundable. This applies even if you do not use the Service during part of the subscription period, cancel early, downgrade a plan, or decide that certain features are not suitable for your needs. Refunds will only be issued if they are specifically required by applicable law.

Acceptable Use

You agree to use IXL CORE only for lawful business purposes and in a manner that does not harm the Service, its users, or others. You must not attempt to gain unauthorised access to any part of the Service, introduce malware, disrupt platform performance, or misuse the Service in a fraudulent, deceptive, abusive, or illegal way. You must not use the Service to send spam or unlawful marketing communications, and you must not violate the privacy, intellectual property, or other rights of third parties. If we reasonably believe your use creates risk, violates these Terms, or compromises security, we may take action including limiting access, suspending the account, or terminating the Service to you.

Customer Communications and Legal Compliance

If you use IXL CORE to communicate with customers or leads via email, SMS, WhatsApp, or other channels, you remain fully responsible for ensuring you have the right to contact recipients and that your communications comply with applicable laws, including consent and opt-out requirements. You control the recipient lists, message content, campaign timing, and marketing practices, and you accept responsibility for ensuring that your use of the Service aligns with your legal obligations.

Customer Data Ownership and Our Right to Process Data

You retain ownership of all data you upload, store, send, or process within the Service (“Customer Data”). You grant IXL CORE a limited right to host, process, store, transmit, and display Customer Data only to the extent necessary to provide the Service, maintain security, deliver support, and fulfil our obligations to you. You confirm that you have the necessary rights and lawful basis to provide Customer Data to the Service and to allow us to process it in accordance with these Terms.

Privacy and Data Protection

We process personal data in line with our Privacy Policy and applicable data protection laws, including Kenya’s Data Protection Act, 2019 where relevant. You are responsible for configuring account permissions and controlling which users can access sensitive records. If you require a Data Processing Agreement (DPA) for compliance purposes, you may request it by emailing support@ixlcore.com .

Security

We implement reasonable administrative, technical, and organisational measures intended to protect the Service and Customer Data. However, you understand that no online platform can guarantee absolute security. You agree to play your part by using strong passwords, limiting access to authorised users, and handling exports or downloaded reports securely.

Third-Party Services and Integrations

The Service may integrate with third-party tools and providers. Your use of such third-party services is governed by their own terms and policies, and those providers may change their services, pricing, or availability at any time. IXL CORE is not responsible for third-party outages, interruptions, changes, or data practices. Where an integration is discontinued or becomes unreliable due to third-party changes, we may modify, replace, or remove that integration.

Intellectual Property

All intellectual property rights in the Service, including software, design, branding, templates, and documentation, are owned by IXL Consultants Limited and/or its licensors. You receive a limited, non-exclusive, non-transferable, revocable right to use the Service during your active subscription and only for your internal business operations. You must not copy, resell, reverse-engineer, or create derivative works from the Service except where permitted by law.

Support and Maintenance

We provide support through the channels we make available, including email. From time to time, the Service may be unavailable due to maintenance, updates, or technical issues. While we aim to keep downtime minimal, you acknowledge that uninterrupted availability is not guaranteed.

Suspension, Termination, and Cancellation

You may cancel your subscription at any time to prevent future renewals. We may suspend or terminate your access if you breach these Terms, fail to pay amounts due, or use the Service in a way that creates legal, security, or operational risk. Where immediate action is needed to protect the Service, users, or third parties, we may suspend access without prior notice. Termination does not remove your obligation to pay fees that became due before termination.

Data Retention and Deletion (90 Days)

After your subscription ends or your account is terminated, we may retain your Customer Data for up to 90 days to allow you to export data or reactivate your subscription, unless a longer retention is required by law. After this period, Customer Data may be permanently deleted. You understand that it is your responsibility to export any important data before deletion occurs.

Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be error-free, uninterrupted, or always available.

Limitation of Liability

To the maximum extent permitted by law, IXL CORE will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data arising from your use of the Service. If liability is established, our total liability for claims related to the Service will not exceed the total amount you paid for the Service in the twelve (12) months immediately before the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless IXL Consultants Limited, its directors, employees, contractors, and agents from claims, damages, losses, and expenses arising from your Customer Data, your communications sent through the Service, your breach of these Terms, or your violation of any law or third-party rights.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service after the effective date of an updated version means you accept the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Kenya.
